Two founders. One decision.

Two founders. One Albanian company. Equal shares. They agree on the opportunity. But have they agreed on how the business will actually work?

Registration is the beginning

Registration is the beginning. It does not, by itself, make a business ready to operate. Let's follow an illustrative launch, and the decisions that matter before the first invoice.

Choose the structure

Start with the activity, the owners, and the risks. An Albanian limited liability company is a common choice. An existing foreign business may consider a branch. The right structure depends on liability, governance, tax, and any sector-specific requirements.

The fifty-fifty question

Our founders choose equal ownership. Then one wants to reinvest. The other wants a distribution. Neither can secure the required approval. Without an agreed way forward, an ordinary business decision can become a deadlock.

Agree the rules early

Agree the rules while you still agree with each other. Who manages? Who may sign? Which decisions need both owners? How are further funding, disagreements, and an eventual exit handled? Put the arrangements into appropriate, legally consistent documents.

Capital is not the operating budget

The minimum share capital of an ordinary Albanian limited liability company is one hundred lek. That is a legal threshold, not an operating budget. Plan the actual funding for premises, people, professional costs, and the first months of trading.

Build a consistent filing

Now prepare the registration: founders, administrator, address, activity, and constitutional documents. Identify the beneficial owners and complete the required filing with the incorporation application. Foreign documents may need translation, apostille, or legalisation, depending on their origin and form.

Prepare for the bank

Next, the bank needs its own review. Prepare evidence of ownership, the business model, expected transactions, and the source of funds. A registered company does not guarantee an account, and the bank's requirements affect the launch timetable.

Before the first invoice

Before issuing the first invoice, establish the applicable tax obligations, invoicing and fiscalisation arrangements, and any required licences. Overseas customers do not automatically make income tax-free. Cross-border treatment needs to be assessed.

Before the first working day

Before the first working day, put employment contracts, employee registration, and payroll arrangements in place. If the founders will live or work in Albania, assess their immigration position separately. Owning shares is not, by itself, permission to reside or work.

Bring the pieces together

Now our founders have more than a registration certificate. They have a decision-making framework, a funding plan, and a coordinated route to operating. Build the business around the decisions it will face, not only the application it must submit.
