Structure

We define the right vehicle — usually a limited liability company (SH.P.K.), sometimes a joint-stock company or a branch — together with shareholders, administrator, share capital, and the tax position that follows. Decisions taken here are expensive to reverse later; we take them properly.

Documents

We draft the founding act and statute, prepare the powers of attorney so you can sign from abroad, and manage apostilles and certified translations for foreign corporate shareholders. You send passports and decisions; we do the rest.

Registration

We register the company with the National Business Center (QKB), Albania’s one-stop shop, which also completes the tax registration and issues the NUIS/NIPT. Ownership is entered on the public register exactly as agreed.

COMMON QUESTIONS

What founders ask before they start.

Do I need to be in Albania to register a company?

No. With a notarized power of attorney we can complete the entire registration on your behalf, including the QKB filing and the opening steps. Many of our clients meet their Albanian company for the first time when it is already operating.

Can a foreign person or company own 100% of an Albanian company?

Yes. Albanian law permits full foreign ownership of a limited liability company, and neither a local shareholder nor a local director is required. The administrator may be a foreign national.

How much share capital do I need?

The statutory minimum for a limited liability company (SH.P.K.) is 100 Albanian lek — nominal. In practice the capital should reflect what the business needs to operate credibly with banks and counterparties, and we advise on the right level.

What happens after registration?

The company must register its beneficial owners, may need VAT and payroll registrations, must set up electronic invoicing (fiscalization), and needs a bank account. We handle these as part of the same engagement, so nothing is left for you to discover later.
